These Terms of Service ("Terms") govern your access to and use of the website located at https://runyourgtm.com and all consulting, diagnostic, marketing execution, and AI automation services provided by RunYourGTM ("we", "us", or "our"). By accessing our website, booking an introductory diagnostic call, or entering into a Statement of Work with RunYourGTM, you ("Client" or "User") agree to be legally bound by these Terms. --- ## 1. Description of Services RunYourGTM provides high-performance marketing architecture, hands-on campaign execution, and custom AI agent automation through three primary engagement models: 1. **The Sprint**: A diagnostic engagement (typically 2 to 3 weeks) that audits pipeline dynamics, ad accounts, web conversion, and positioning to deliver a comprehensive marketing architecture and campaign roadmap without ongoing execution obligations. 2. **The Deployment**: An ongoing, full-funnel marketing operations service where RunYourGTM actively designs, launches, and operates multi-channel campaigns, web optimizations, and closed-loop attribution systems. 3. **The AI Build**: Development, configuration, and deployment of bespoke autonomous AI agents and data integrations embedded within the Client's sales and marketing stack. Detailed project deliverables, timelines, and fees are defined in individual Statements of Work ("SOW") executed between RunYourGTM and the Client. --- ## 2. Intellectual Property Rights - **Client Deliverables**: Upon receipt of full payment for services rendered, the Client shall own all right, title, and interest in and to bespoke deliverables created specifically for Client, including customized marketing copy, brand messaging guidelines, tailored landing page code, and custom campaign graphics. - **RunYourGTM Pre-Existing IP**: RunYourGTM retains exclusive ownership of all pre-existing methodologies, proprietary diagnostic frameworks, reusable software libraries, autonomous AI agent core templates, and general marketing automation scripts developed prior to or independently of the client engagement. - **Client Materials**: The Client grants RunYourGTM a non-exclusive, royalty-free license to use Client trademarks, logos, and collateral solely to the extent necessary to perform the agreed-upon services. --- ## 3. Confidentiality & Non-Disclosure Both parties agree that any non-public business, financial, technical, or marketing information disclosed during the course of an engagement shall be held in strict confidence. Neither party shall disclose confidential information to any third party without prior written consent, except to authorized contractors or advisors bound by equivalent confidentiality duties. --- ## 4. Client Responsibilities & Tooling Access Successful marketing and AI agent deployment requires timely collaboration. The Client agrees to: - Provide timely access to relevant platforms (ad accounts, CRM systems, analytics, website CMS). - Designate a primary operational point of contact for feedback and approvals. - Review and approve draft campaigns or outbound sequences in a reasonable timeframe. --- ## 5. Warranties & Disclaimers RunYourGTM provides all services with professional skill and diligence consistent with industry standards. However, because marketing and sales pipeline conversion depend on numerous external variables (market demand, competitive dynamics, product quality, sales team close rates, and third-party advertising platform algorithms), **RunYourGTM makes no express or implied guarantee of specific revenue figures, funding outcomes, or closed customer contracts.** --- ## 6. Limitation of Liability To the maximum extent permitted by applicable law, neither party shall be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or goodwill) arising out of or related to these Terms. In no event shall RunYourGTM's total aggregate liability exceed the total fees paid by the Client to RunYourGTM under the applicable SOW in the three (3) months preceding the event giving rise to liability. --- ## 7. Termination & Cancellation - **Diagnostic Sprints**: Stand-alone projects concluding upon delivery of the final architecture package. - **Ongoing Retainers**: Month-to-month or defined-term retainers may be cancelled by either party with thirty (30) days' prior written notice, unless otherwise specified in the active SOW. --- ## 8. Governing Law & Dispute Resolution These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the **State of New York**, without regard to conflict of law principles. Any legal proceeding shall be instituted exclusively in the state or federal courts located in **Oneida County, New York**. --- ## 9.
